Section headings and captions appearing with this Agreement are for convenient reference only and in no respect define, limit or describe the scope or intent of this Agreement or the provisions of such sections. This Agreement and the other documents executed in connection with the transfer contemplated hereby, while having been manuscripted by attorneys for the Bank, are the product of negotiation of the terms thereof with Automotive, who acknowledges that it has been represented and advised by counsel who has participated in such negotiation and has reviewed such documentation. But for the provisions of such documents, Bank would not have agreed to enter into this Agreement on the terms offered in such documents. None of such documents shall be construed against Bank solely by reason of the preparation of such documents by attorneys for the Bank.
