Condition
of Property
On or before the Closing the Buyer has
made and/or will have made an on-site inspection of the Property and will
otherwise investigate the Property to Buyer's satisfaction. Seller, subject to
the representations contained in Section _____ hereof, is hereby released
by Buyer from all responsibility and liability regarding the condition,
valuation or utility of The Property. Buyer expressly acknowledges that the
Buyer has not relied on any warranties, promises, understandings or
representations, express or implied, of Seller or any agent of Seller relating
to The Property that are not contained in Section _____ hereof. Buyer
agrees at the Closing to accept The Property in its present condition "AS-IS"
and Buyer acknowledges that, except as set forth in Section _____ hereof,
Seller makes no representation of merchantability, suitability or fitness for a
particular purpose, or quality, as to The Property, or any part hereof, or as to
the condition or workmanship thereof, or the absence or any defects therein
whether latent or patent, it being understood that The Property is to be
transferred hereunder "AS-IS",
and in its then present condition, and Buyer shall rely on its own examination
thereof. Buyer acknowledges that any information of any type which Buyer has
received or may receive from Seller or Seller's agents, is furnished on the
express condition that the Buyer shall make an independent verification of the
accuracy of such information and that all such information is being furnished
without any warranty. Buyer agrees that it will not assert any claim against the
Seller for furnishing any information to the Buyer, and Buyer agrees to
indemnify and hold Seller harmless from any and all such claims of liability.
The indemnity set forth in the foregoing sentence shall survive the Closing or
the cancellation of this Agreement.
